Terms of Use for Reward Gateway’s Microsoft Teams Add-On

By installing or using Reward Gateway’s Microsoft Teams Add-On software and/or any updates to such software provided by Reward Gateway (the “Software”), you:

If you do not have such authority, are not an authorised User, or do not agree to these terms, you may not install or use the Software.

These Terms & Conditions were last updated on September 7, 2020. They are effective between the Customer and Reward Gateway at the date you first downloaded, installed or used the Software, whichever is earliest.

You are responsible for reading and complying with any amended version of these Terms & Conditions that is posted at … before such version can be made available by Reward Gateway via the Software, which will become effective 30 days after being posted.

Introduction

These Terms & Conditions are a part of the Client Agreement under which the Customer ordered a Reward Gateway service. They are between the Reward Gateway entity name (either Reward Gateway (UK) Ltd., Reward Gateway (AU) Pty Ltd, Reward Gateway (US) Inc.) (“Reward Gateway”) on the Client Agreement and the Customer.

These Terms & Conditions adjust certain terms of the Client Agreement, solely with respect to the Software. Capitalised terms used but not defined in these Terms & Conditions have the meanings given to them in the Client Agreement.

Software

The Software is provided by Reward Gateway as a component of Reward Gateway’s Microsoft Teams Add-On.

The Software allows Microsoft Teams customers to use Reward Gateway’s Microsoft Teams Add-On from Supported Devices. A “Supported Device” is, as applicable, (a) a combination of a computer and relevant operating system(s) that is supported by the Software; or (b) a combination of Microsoft Teams software for mobile devices and relevant mobile device model and relevant associated mobile operating system version(s) that is supported by the Software.

Licence

The Software, including software embedded in the Software, is licensed, not sold, to the Customer by Reward Gateway only under the terms of the Client Agreement and Reward Gateway reserves all rights not expressly granted to the Customer.

This Software may include some third-party software; please see the Documentation for additional notices required by our licensors.

The Customer or you own the media or device on which the Software is recorded or stored but Reward Gateway retains ownership of the Software itself.

Permitted Use and Restrictions

  1. You, as an authorised User under the Client Agreement, may use the Software on any Supported Device and on no other Devices.
  2. You may not distribute or make the Software available over a network where it could be used by multiple devices at the same time.
  3. With respect to updates to the Software that Reward Gateway may make available for download, these Terms & Conditions allows you to download such Software updates to update or restore the Software.
  4. Except as and only to the extent permitted by applicable law, or by licensing term governing use of open-sourced components included with the Software, neither you nor any other Customer personnel may copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, modify, or create derivative works of the Software or Software updates, or any part thereof. Any attempt to do so is a violation of the rights of Reward Gateway and its licensors. If you or any other Customer personnel violate this restriction, you or they, and the Customer, may be subject to prosecution and damages.
  5. Neither you nor the Customer may rent, lease, lend, redistribute or sublicense the Software. The Customer may, however, allow other authorised Users under the Client Agreement to use the Software in connection with a re-assignment of the Supported Device to another authorised User under the Client Agreement.
  6. The Software is available only for Supported Devices, and is not available for all devices. Please check https://success.rewardgateway.com/ to determine (i) whether a specific device and operating system combination is supported by the Software and (ii) whether a specific mobile device and mobile operating system version combination is supported by the Software
  7. Reward Gateway’s Software may also contain links or integrations to other applications or mobile applications provided by third parties, including Microsoft in the case of the Software. Reward Gateway is not responsible for the security and privacy of data collected through third-party mobile applications or the privacy and security practices of the foregoing third parties.
  8. Without limiting the generality of anything herein, you acknowledge and agree that the Software may collect user or device data for the purposes of providing services or functions that are relevant to use of the Software.
  9. Without limiting the generality of anything herein, you are responsible for complying with applicable laws and government regulations in your use of the Software.

Termination

Reward Gateway may terminate the Customer’s right to use the Software at any time upon 30 days’ notice to Customer without cause, or immediately upon notice to the Customer if any third party (including, but not limited to, Microsoft, or your network connectivity provider) restricts, prevents or ceases to authorise the installation or use of the Software on your Supported Device.

These Terms & Conditions shall terminate immediately and automatically upon any termination or expiration of the Client Agreement. Upon any such termination or expiration, the Customer (including you) shall no longer be permitted to use the Software, and shall delete or destroy all copies of the Software in its (including your) possession.

Termination or expiration of these Terms & Conditions shall not entitle the Customer to any refund, credit, or other compensation from Reward Gateway under the Client Agreement or any other agreement or from any third party.

Service Level Agreement

Any service level agreement in effect between the Customer and Reward Gateway shall not apply to the Software.

Terms Required by Microsoft

  1. These Terms & Conditions are between the Customer and Reward Gateway only, and not with Microsoft. Reward Gateway is solely responsible for the Software.
  2. Reward Gateway is solely responsible for providing maintenance and support for the Software. Microsoft, your Supported Device’s manufacturer(s), and your network operator(s) have no obligation to provide maintenance and support for the Software.
  3. To the fullest extent permitted by law, the Software is licensed “as is”, “with all faults”, and “as available” and you bear all risk of using it. Reward Gateway, on behalf of itself and Microsoft and on behalf of both companies’ respective affiliates, vendors, agents, and suppliers, gives no express warranties, guarantees, or conditions in relation to the Software.

    You may have additional consumer rights under your local laws that these Terms & Conditions cannot change. Reward Gateway and Microsoft exclude any implied warranties or conditions, including those of merchantability, fitness for a particular purpose and noninfringement.
  4. To the extent not prohibited by law, you can recover from Reward Gateway only direct damages up to the amount you paid for the Software or $1.00 USD, whichever is greater.

    You will not, and waive any right to, seek to recover any other damages, including consequential, lost profits, special, indirect or incidental damages from Reward Gateway.

    This limitation applies to anything related to Software or the services made available through the Software and claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law. This limitation also applies even if repair, replacement, or refund for the Software does not fully compensate you for any losses; or if Reward Gateway knew or should have known about the possibility of damages.
